By accessing or using the SUQ platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you must not use the platform. Your continued use of SUQ after any modification to these terms constitutes your acceptance of the revised terms.
SUQ is a business-to-business wholesale marketplace that connects sellers and buyers across Africa and beyond. SUQ provides the technology infrastructure and tools for parties to discover, negotiate, and transact with one another. SUQ is not a party to any transaction between sellers and buyers, does not take title to any goods listed on the platform, and is not responsible for the quality, safety, legality, or availability of items offered for sale.
You must provide accurate, complete, and current information when creating an account. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Each individual or business entity may hold only one account. SUQ is a commercial platform — accounts may not be used for personal or consumer purchases. Notify us immediately at legal@suq.et if you believe your account has been compromised.
Sellers must accurately represent all products listed on the platform, including descriptions, images, quantities, and pricing. Sellers are solely responsible for complying with all applicable laws, regulations, and licensing requirements in their jurisdiction, including import/export controls, product safety standards, and tax obligations. Sellers must fulfil all accepted orders within the stated lead time. Sellers may not list counterfeit, illegal, hazardous, or otherwise prohibited items. Failure to comply may result in immediate account suspension and removal of listings.
By placing an order on SUQ, buyers represent that they have the legal authority to enter into purchase agreements on behalf of their organisation. Buyers must honour all accepted orders and make payment in full within the agreed payment terms. The SUQ platform is intended exclusively for commercial and wholesale purchases — it may not be used for personal, family, or household consumer purchases.
Subscription fees are billed monthly in advance in accordance with your chosen plan. Transaction fees, where applicable, are disclosed at the time of checkout and deducted automatically. All fees paid to SUQ are non-refundable, except where required by applicable law. Payments are processed by third-party payment processors; by using the platform you agree to their applicable terms and privacy policies. SUQ is not responsible for errors or failures by payment processors.
The SUQ platform, including its software, design, trademarks, and all content produced by SUQ, is owned by SUQ and its licensors. You may not copy, modify, distribute, or create derivative works without prior written consent. By uploading content to the platform — including product images, descriptions, and business information — you grant SUQ a non-exclusive, royalty-free, worldwide licence to display and distribute that content solely for the purpose of operating the platform. You retain full ownership of your uploaded content and may remove it at any time by deleting the relevant listings or closing your account.
You may not use automated tools to scrape, crawl, or harvest data from the platform. You may not attempt to reverse engineer, decompile, or disassemble any part of the SUQ software. You may not attempt to circumvent authentication, access controls, or any security feature of the platform. You may not upload or transmit malware, viruses, or any code designed to disrupt or damage systems. You may not engage in harassment, abuse, or threatening conduct toward other users. Violations may result in immediate termination and referral to appropriate authorities.
To the fullest extent permitted by law, SUQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, arising out of or in connection with your use of the platform. In no event shall SUQ's total aggregate liability to you exceed the total fees paid by you to SUQ in the three months immediately preceding the event giving rise to the claim.
These Terms of Service are governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia. Any dispute arising out of or relating to these terms or the use of the platform shall be submitted to the exclusive jurisdiction of the courts of Addis Ababa, Ethiopia.
SUQ reserves the right to update or modify these Terms of Service at any time. We will provide at least 14 days' notice of material changes by sending an email to the address associated with your account. Your continued use of the platform after the notice period constitutes your acceptance of the revised terms. If you do not agree to the revised terms, you must close your account before the changes take effect.
